Companies Don't Have To Go Public
Companies Don't Have To Go Public
04/26/2004 03:41 AMAt the end of last week there was a flurry of articles from people
talking about the rumors that Google would announce an IPO this week.
We didn't post this because it's the exact same story that people have
been running for months about how Google is probably going to need to
disclose their financial info by Thursday. That was nothing new at
all, but many people misinterpreted it to mean that Google
would go
public this week. At most, they might file to go public - which
is quite different from actually going public. Even if they release
the financial information as expected, it doesn't mean they have to go
public, and some suspect that they'll
stay private a while longer. While it's true that
they'd be revealing the same info, there still wouldn't be the same
pressure, because no one would be buying and selling their stock.
Google seems to like being a private company, and while there's a lot
of pressure to go public, that doesn't mean it will happen. One small
note in the article was pretty interesting, though. It turns out that
Google was actually structured as two separate companies (Google Inc.
and Google Technologies) to keep them under the 500 shareholders
financial reporting rule for as long as possible. Still, this whole
debate brings up another annoying misconception that companies need to
go public. While it is common, it is by no means necessary - and
there are some very successful large companies that have stayed
private and are quite happy in that position. Just like startups
don't
need to raise venture capital, established companies
don't
need to go public - and
many execs who understand the downsides of being public are
avoiding pressures to go the IPO route. Going public does give
the company (and its shareholders) some liquidity, but that comes at a
pretty steep price.

Is The Contact Info You Provide Someone
Public Or Private Info?
02/10/2004 05:32 PMI've complained in the past about the
annoyanc
e of Plaxo spam. Lately, the more I've been thinking about Plaxo,
the more it annoys me. Though I've never had anything to do with the
company, and have never responded to a single spam, they now have a
database with my contact info that others gave it. Bambi Francisco
over at CBS Marketwatch has
noticed the same thing with Spoke Software, which she
finds disconcerting. However, I'm wondering about the bigger legal
issues: is the personal info you've given to individuals for business
or personal reasons shareable? Some say that all Spoke is doing is
collecting
public information. However, if the info was given to an
individual, is there a reasonable expectation that the information is
not public at all, but for private use only? I'm not sure what the
answer is, but I wonder how long until there's a lawsuit around this
issue. Personally, like so many other things, I don't think it's
something you can get "back in the box," but these systems do reveal
to me who is freely giving away personal information about me, which
could make me less willing to do business with them in the future.

Chicago's public sculpture can't be

Chicago's public sculpture can't be
photographed by the public
02/07/2005 02:07 AMCory Doctorow:
Chicago spent $270 million on its Millennium Park, placing a big
public sculpture by Anish Kapoor in the middle of it, bought with
public money. Woe betide any member of the public who tries to
photograph this sculpture, though: it's a
copyrighted
sculpture and Chicago is spending even more money policing
Chicagoans who try to photograph it and make a record of what their
tax-dollars bought.
If I were them, I'd ask for my money back. What kind of jerk sculptor
sells the city a piece of public art for a public park and then
demands that no one take pictures of it? Christ, they should run this
guy out of town on a rail and melt the goddamned sculpture down for
scrap. Then they should fire the politician who signed a purchase
contract that reserved the photographic rights and run him out of town
on the same rail. Between the artist's greed and the procurement
officer's malfeasance, this is about the vilest display of human
venality I've heard of all day.
The copyrights for the enhancements in Millennium Park are owned by
the artist who created them. As such, anyone reproducing the works,
especially for commercial purposes, needs the permission of that
artist.
