USATODAY.com - Software giant Oracle has finally taken control of rival PeopleSoft after an 18-month takeover battle. Wednesday, Oracle said that 75% of PeopleSoft shareholders have tendered their shares. That officially puts Oracle in charge, moving it one step closer to closing the contentious $10.3 billion deal.

  • There's something anticlimatic about all this. It was a given, once the U.S. antitrust lawsuit against the deal failed, that a buyout would happen unless a white knight showed up to buy PeopleSoft. Let's be clear on at least one point. This deal is not likely to be helpful to PeopleSoft customers, no matter how Oracle spins it. It's probably good for Oracle, which is bulking up to fight what it quite plausibly believes is the battle of the titans -- including SAP now and Microsoft later -- in the future of software. Oracle has been right to pursue consolidation in its particular field. That's clearly the way the world is going. But pretenses about value for customers should be taken with enormous grains of salt. The posturing -- the kindest word I can come up with -- from both companies during this drawn-out process has been unattractive, to say the least. Shareholders, customers, rank-and-file employees and the communities where the companies operate have witnessed the kind of corporate behavior, exemplified by CEO trash-talking (and worse), that takes away our confidence, not enhances it.
