heading into Google's IPO by having Google agree to
fork about $300 million in Google stock to make all
those problems go away (isn't it fun to have virtual currency in the
form of stock?). The article doesn't do much to explain what legal
claims are being settled, but it appears that the main one was the
patent dispute that Overture had filed against Google for their use of
an auction method for selling paid search ads. The other relates to a
disagreement Yahoo had concerning how much equity they received when
they initially put some money into Google and used their search
technology.

on by Yahoo! over advertisements in search results. Google will issue

have also resolved an earlier dispute over an agreement that gave

settle legal dispute. As part of the agreement, Google agreed
to issue Yahoo 2.7 million shares of its common stock in payment for
the license, according to a Google filing with the Securities and
Exchange Commission.
So it looks like there really
was something to Overture's complaint (Overture was purchased by
Yahoo) that Google was infringing. The size of this settlement tells
you that Google was very afraid.
The quick calculations that everyone has done about the value of the
settlement also tell you something about companies' claims that they
can't properly value stock options on financial statements. It's only
when you can hide the money from investors that it's an issue,
apparently.
