Last month we wrote about the surpris ing lawsuit from Toysrus.com against Amazon.com. The two companies had been happy partners for years -- and the relationship between the two (where Amazon ran the website for Toys 'R' Us) was often used as an example of a way that the two companies probably saved each other. However, part of the deal included Toysrus.com paying Amazon $200 million for "exclusivity." They claimed Amazon was violating that exclusivity by allowing its independent merchants sell toys and baby goods online as well. It's pretty obvious that this would be nearly impossible for Amazon to stop, and would definitely be bad for business. Still, Toysrus claims that after trying to "settle" the manner peacefully, they were forced to sue. Now Amazon has hit back. Instead of just responding to the lawsuit, though, they've knocked it up a notch: claiming that Toysrus.com has failed to live up to their end of the contract as well and trying to dissolve the contract between the two companies. Amazon claims that Toysrus.com has done a bad job picking the top toy products, and an even worse job keeping popular products in stock. These days, Amazon probably is in a position to go it alone without too much trouble. Toysrus.com, however, may be in a bit more trouble if they want to recreate a quality e-commerce site without much notice.

Following up on the increasingly acrimonious lawsuit between Amazon and Toys 'R' Us comes a judge's order today that t wo sides need to work together to solve this dispute. The problem, of course, is that the complaints from Toys R Us are somewhat unreasonable. They have an "exclusive" relationship to sell toy products, but Amazon's offering allowing anyone to set up their own shop makes it difficult to police to make sure that no one else dare sell toys on Amazon's site (especially without pissing off sellers who didn't realize they couldn't sell toys). In their effort to be as annoying as possible, Toys R Us has apparently had someone watching Amazon and documenting any time an item slips through. The judge points out that its silly to order sanctions against Amazon for letting a few items slip through, but that their "geniuses" better figure out an automated way to stop it pretty damn quick. In the meantime, Amazon is still hoping to completely dissolv e the relationship with Toysrus.com, realizing they could probably do a better job on their own and not have to worry about all of this. Toys R Us, meanwhile, seems to be thinking about getting out of the toys business altogether.

In the past year and a half, Techdirt has received five or six threats of legal action for things written on the site (one time we even received two completely separate legal threats on the same day -- which actually was quite confusing). None of these went very far, as a quick review of every situation showed they were baseless. In every case, the threats involved statements (usually in the comments) that someone didn't want to be out there, but which were clearly perfectly legal. What most of those doing the threatening failed to realize was that if legal action was taken, the first thing that would happen would be a public discussion of what was happening -- meaning a random comment from years ago on the site that no one looked at any more, would suddenly get a lot more attention (see: Streisa nd, Barbara). Anyway, it looks like more sites (especially in the blog realm) are learning not to freak out every time they get a cease & desist letter, but to push back, and even publicize the threats. At some point, lawyers will wise up and realize that baseless legal threats, with the hope that the legalese will scare a non-lawyer, have a very high likelihood of backfiring in a big way.
